Company incorporation
The shareholding you choose on the day of registration decides which licences the company will need afterwards, and how many foreign employees it can ever put on a work permit.
SCOPE
What this covers
- Checking and reserving the company name in Thai and English
- Structuring the shareholding and registered capital against the work permits the company will later apply for
- Drafting the memorandum of association, articles and objects clause
- Holding the statutory meeting and filing with the Department of Business Development
- VAT and specific business tax registration, and obtaining the tax identification number
- Registering the company as an employer with the Social Security Office
- Opening the corporate bank account and preparing what the bank asks for

How it proceeds

Name reservation
Preferred names are filed in order of preference and checked against names already on the register.

Constitutional documents
Memorandum, articles, the list of shareholders and each director's consent to act.

Filing
The incorporation is filed with the registrar with a flat-rate fee at the figure the Department of Business Development publishes.
- 04
Tax and social security
VAT registration once the thresholds are met, and employer registration once there are employees.

What we will need from you
- Passport or Thai ID card for every shareholder and director
- Certificate of incorporation of the parent company, translated and legalised, if a shareholder is a foreign entity
- Proof of the registered office such as the lease and the owner's letter of consent, with a map
