Corporate changes and secretarial work
None of this is difficult, but each filing has its own deadline and its own place in the order. File late, or out of order, and the work starts again — sometimes with a fine attached.
SCOPE
What this covers
- Changes of directors and of the directors' signing authority
- Increases and reductions of registered capital
- Moving the registered office and amending the objects
- Share transfers and updating the shareholder register
- Convening shareholder and board meetings, and drawing the minutes
- Dissolution and liquidation
PROCESS
How it proceeds
- 01
Get the resolution right
Each change needs either a board or a shareholders' resolution, and some need a special resolution.
- 02
Notice and publication
Some shareholder meetings require advance notice and publication in a newspaper.
- 03
File within the deadline
The filing goes to the registrar within the period fixed for that particular change.
DOCUMENTS
What we will need from you
