Power of attorney POA

A signed document by which one person authorises another to act in a defined matter on their behalf — signing filings, receiving service, instructing counsel — and which a Thai official or court will read strictly against its own wording.

IN PRACTICE

What it means in practice

Thai practice reads a power of attorney narrowly: an authority to sue does not by itself carry authority to settle or to appoint a substitute unless the agency provisions are expressly satisfied, and in practice a court, a bank or a receiving office will not let an attorney receive money unless that authority is spelled out too, so each act the attorney will need must appear on the face of the document. A power of attorney signed abroad by a foreign company is normally produced with the company's certificate showing who may sign, and legalised before it is filed. Putting a lawyer on the record in a Thai court is done on a separate document from the general power of attorney, and stamp duty applies.
