Company certificate (company affidavit)
The certificate the Department of Business Development issues from the register showing a company's current particulars: its registration number, date of registration, capital, registered office, objects, directors, and the way the directors bind the company.
IN PRACTICE
What it means in practice
Everyone who deals with the company asks for it: banks, landlords, licensing authorities and the other side of a contract. Two things on it decide whether a document has been validly signed. The objects have to cover what the company is doing, and the directors' signing authority says which directors, and how many of them, must sign together. A certificate is a snapshot of the register on the day it was issued, so most authorities accept only a recent one, and a change of director or of address does not appear on it until the change has been registered.
